"Site" means all the content, documents, instructions and files on the Global Tax Services' website (URL: http://www.gtsec.com)

Software

"Software" means (a) all of the contents of the files, disk(s), CD-ROM(s) or other media with which this Agreement is provided, including but not limited to (i) SOFTWARE or third party computer information or software; (ii) related explanatory written materials or files ("Documentation"); and (iii) fonts; and (b) upgrades, modified versions, updates, additions, and copies of the Software, if any, licensed to you by SOFTWARE (collectively, "Updates").

No Tax Advice

GLOBAL TAX SERVICES DOES NOT PROVIDE TAX CONSULTING, INCLUDING ANY FORM OF GUIDANCE, INFORMATION, OR ADVICE.

The information contained on the Global Tax Services Site or through the software is not offered as tax advice on any specific issue or matter and should not be taken as such. GTS disclaims all liability to any person in respect of anything done or omitted to be done wholly or in part in reliance on the information contained therein. Tax laws and regulations change frequently and the application of such laws and regulations can vary widely based upon specific facts and circumstances involved. GTS has made reasonable efforts to ensure that SOFTWARE provides the correct tax calculations and preparation of all forms, the laws and regulations governing this issue are complex and continuously subject to change. You are encouraged to consult with your own professional tax advisors concerning your specific tax circumstances. We disclaim any responsibility for the accuracy or adequacy of any positions taken by you in your tax returns. All users of SOFTWARE are individually responsible for verifying that the correct information has been entered into SOFTWARE and included on all forms and/or other documents.

No Warranty

The Software is being delivered to licensee "AS IS" and GTS makes no warranty as to its use or performance. GTS AND ITS SUPPLIERS DO NOT AND CANNOT WARRANT THE PERFORMANCE OR RESULTS YOU MAY OBTAIN BY USING THE SOFTWARE. EXCEPT FOR ANY WARRANTY, CONDITION, REPRESENTATION OR TERM TO THE EXTENT TO WHICH THE SAME CANNOT OR MAY NOT BE EXCLUDED OR LIMITED BY LAW APPLICABLE TO YOU IN YOUR JURISDICTION, GTS AND ITS SUPPLIERS MAKE NO WARRANTIES CONDITIONS, REPRESENTATIONS, OR TERMS (EXPRESS OR IMPLIED WHETHER BY STATUTE, COMMON LAW, CUSTOM, USAGE OR OTHERWISE) AS TO ANY MATTER INCLUDING WITHOUT LIMITATION NONINFRINGEMENT OF THIRD PARTY RIGHTS, MERCHANTABILITY, INTEGRATION, SATISFACTORY QUALITY, OR FITNESS FOR ANY PARTICULAR PURPOSE. GTS does not warrant that the SOFTWARE is free from bugs, interruptions, errors, or other system limitations. The licensee acknowledges that use of the internet presents certain risks relating to viruses or other harmful components.

Limitation Liability

In no event will GTS's aggregate liability, and that of its suppliers, if any, exceed the fees paid by the Licensee during the License Agreement period whether in contract, tort (including, but not limited to, negligence), or otherwise. IN NO EVENT WILL GTS OR ITS SUPPLIERS BE LIABLE TO Licensee or any related individual FOR ANY DAMAGES, CLAIMS OR COSTS WHATSOEVER OR ANY CONSEQUENTIAL, INDIRECT, INCIDENTAL DAMAGES, OR ANY LOST PROFITS OR LOST SAVINGS, including, without limitation, loss of profits or loss of data, or any other similar damages or loss event. EVEN IF AN GTS REPRESENTATIVE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS, DAMAGES, CLAIMS OR COSTS OR FOR ANY CLAIM BY ANY THIRD PARTY. THE FOREGOING LIMITATIONS AND EXCLUSIONS APPLY TO THE EXTENT PERMITTED BY CALIFORNIA LAW. GTS is acting on behalf of its suppliers for the purpose of disclaiming, excluding and/or limiting obligations, warranties and liability as provided in this Agreement, but in no other respects and for no other purpose.
